Terms of Service

§ 1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “User,” or “District”) and BacPac Technologies, Inc. d/b/a BacPacAI (“BacPacAI,” “we,” “us,” or “our”).

BY ACCESSING THE SERVICE, YOU ACKNOWLEDGE THAT YOU ARE AN EDUCATOR, TRAINER, COACH, OR ADMINISTRATOR ACTING IN A PROFESSIONAL CAPACITY. If you do not agree with all of these terms, you are expressly prohibited from using the Service.

§ 2. Eligibility and Authority (COPPA Compliance)

Age Requirement: You must be at least 18 years of age to create an account. The Service is a tool for professionals and is not intended for direct use by students under the age of 13.

School Authority: If you are using the Service on behalf of a school or district, you represent and warrant that you have the authority to bind that institution to these Terms.

COPPA Consent: By using the Service to process student-related information, you acknowledge that your school or district provides consent for such processing in lieu of parental consent, as permitted under COPPA for educational purposes.

§ 3. User Representations & AI Content

By using the Service, you represent and warrant that:

  • Data Rights: You own or have the necessary licenses/consents for any text, files, or data you upload (“User Input”).
  • Compliance: Your use of the Service complies with FERPA and your local District’s privacy policies.
  • Accuracy: You understand that the Service utilizes Artificial Intelligence. AI can “hallucinate” or produce inaccurate information. You are solely responsible for reviewing and verifying the accuracy of any AI-generated output before using it in a classroom or administrative setting.

§ 4. Intellectual Property & AI Outputs

4.1. BacPacAI Ownership (The “Platform”)

Unless otherwise indicated, the Service, including its “look and feel,” proprietary algorithms, prompt engineering sequences, source code, databases, functionality, software, and website designs (collectively, the “Service Content”) are the exclusive property of BacPac Technologies, Inc. All trademarks, service marks, and logos (the “Marks”) are owned or controlled by us. You are granted a limited, non-exclusive, non-transferable license to access the Service strictly for professional educational purposes.

4.2. Ownership of the Service and Technology

The Service, including but not limited to its “look and feel,” user interface, proprietary prompt engineering sequences, underlying source code, object code, databases, software, and website designs, are the exclusive property of BacPac Technologies, Inc. (the “Company”). This includes all improvements, enhancements, or modifications thereto.

Patent Rights: All inventions, whether patentable or not, developed by the Company in the course of providing the Service remain the sole property of the Company. You acknowledge that the Service contains valuable trade secrets and proprietary “know-how” belonging to the Company.

No Reverse Engineering: You are strictly prohibited from (i) decompiling, reverse engineering, or disassembling the Service; (ii) attempting to derive the source code or underlying structure of the AI prompts; or (iii) building a competitive product using the proprietary methods discovered through your use of the Service.

4.3. User Input (Your Data)

You retain full ownership of all data, text, files, and materials you upload or input into the Service (“User Input”). By submitting User Input, you grant BacPacAI a world-wide, royalty-free, non-exclusive license to use, host, and store such Input solely for the purpose of providing the Service to you.

Privacy Guardrail: This license does not grant us the right to sell your Input or use it for third-party marketing.

Model Training: We do not use User Input containing Student PII to train our foundational machine learning models for public use.

4.4. Ownership of AI-Generated Output

As between you and BacPacAI, and to the extent permitted by applicable law, you own the Output generated by the Service based on your Input (e.g., specific lesson plans, emails, or rubrics).

  • Grant of Rights: BacPacAI hereby assigns to you all its right, title, and interest (if any) in and to the Output.
  • Usage Rights: You are free to use, modify, and distribute the Output for your classroom, school, or district needs.
  • Similarity of Output: You acknowledge that due to the nature of machine learning, Outputs may not be unique across users. Other users may submit similar prompts and receive the same or similar generated content; you do not acquire ownership over such similar content generated for other users.

4.5. Feedback License

If you provide us with any suggestions, ideas, or feedback regarding the Service (“Feedback”), you agree that BacPacAI shall own such Feedback. We may use and share this Feedback for any purpose, including improving the Service, without any obligation or compensation to you.

4.6. DMCA and Copyright Infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Service infringes upon any copyright you own or control, please immediately notify us at Legal@bacpacai.com.

§ 5. Prohibited Activities

In addition to standard security prohibitions, you agree not to:

  • Sensitive Data Entry: Input Social Security Numbers, financial information, or highly sensitive health records into the AI prompts.
  • Reverse Engineering: Attempt to extract the source code or underlying prompts of the BacPacAI platform.
  • Automated Scraping: Use bots to “crawl” our Service or systematically harvest educational content generated by other users.
  • Academic Dishonesty: Use the Service in a manner that violates your institution’s academic integrity policies.

§ 6. Fees and Payments

Subscription: Certain features are billed on a subscription basis. You agree to provide current, complete, and accurate purchase and account information.

Cancellation: You may cancel your subscription at any time; however, unless required by law, payments are non-refundable.

District Billing: If your District pays for your account, the District’s Master Service Agreement (MSA) may supersede certain financial sections of these Terms.

§ 7. Limitation of Liability

BacPacAI is provided “as is.” We do not warrant that the AI outputs will be error-free or meet specific educational standards. To the fullest extent permitted by law, BacPacAI shall not be liable for any indirect, incidental, or consequential damages arising from:

  • Errors or inaccuracies in AI-generated content.
  • Loss of data or unauthorized access (beyond our duty of “reasonable care”).
  • Your failure to obtain proper parental or district consent for student data.

OUR SERVICES ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM OUR SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

7.1. Indemnity

If you are a business or organization, to the extent permitted by law, you will indemnify and hold harmless us and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third party claims arising out of or relating to your use of the Services and Content or any violation of these Terms.

§ 8. General Terms

Assignment: You may not assign, delegate, or otherwise transfer any rights or obligations under these Terms without our prior written consent, and any attempted assignment in violation of this provision will be null and void. We may assign or transfer our rights and obligations under these Terms to any affiliate, subsidiary, or successor in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets relating to the Services.

Changes to These Terms or the Services: We are continually improving and evolving the Services. Accordingly, we may modify these Terms or update, change, suspend, or discontinue any part of the Services from time to time.

§ 9. Governing Law

These Terms of Service are governed by the laws of the State of Washington. Any dispute arising from these terms shall be resolved in the courts of King County, Washington.
